1. Introduction

Welcome to BLAQTACH.

These Terms and Conditions ("Terms") govern your access to and use of the BLAQTACH website, online systems, mobile services, booking platforms, client portal and all services provided by BLAQTACH.

By accessing our website, requesting a quotation, making a booking, submitting an application, purchasing a service or otherwise engaging with BLAQTACH, you acknowledge that you have read, understood and agreed to be bound by these Terms.

If you do not agree with these Terms, you must discontinue use of our website and services.


2. Definitions

For purposes of these Terms:

"BLAQTACH" means BLAQTACH (Pty) Ltd, its employees, directors, contractors and authorised representatives.

"Client" means any individual, company, organisation, trust, government institution or other entity using or requesting our services.

"Services" include, but are not limited to:

  • Company Registration
  • Company Amendments
  • Annual Returns
  • Beneficial Ownership Filings
  • SARS Services
  • VAT Registration
  • PAYE Registration
  • UIF Registration
  • COIDA Registration
  • Compliance Services
  • Business Advisory
  • Verification Services
  • Due Diligence Services
  • Fingerprint Services
  • Tender Compliance
  • Administrative Support
  • Any future services offered by BLAQTACH.

3. Nature of Our Services

BLAQTACH is an independent South African business compliance, verification and administrative support company.

Unless expressly stated otherwise, BLAQTACH is not:

  • the Companies and Intellectual Property Commission (CIPC);
  • the South African Revenue Service (SARS);
  • the Department of Home Affairs;
  • the Department of Employment and Labour;
  • the Companies Tribunal;
  • CIDB;
  • CSD;
  • SAPS;
  • or any other government department or statutory body.

BLAQTACH assists clients in preparing, submitting, monitoring and facilitating applications and compliance processes.

Final approval always rests with the relevant authority.


4. Client Responsibilities

The Client agrees to:

  • provide accurate information;
  • provide genuine supporting documents;
  • respond promptly to requests for information;
  • review submitted information before approval;
  • notify BLAQTACH immediately if incorrect information has been submitted.

The Client accepts full responsibility for any delays or losses arising from incorrect, incomplete or misleading information supplied by the Client.


5. Fees

Professional fees are payable for all services performed.

Government fees, statutory fees, courier charges, bank charges, third-party costs and disbursements are separate unless expressly stated otherwise.

A quotation remains valid for thirty (30) calendar days unless otherwise stated.

BLAQTACH reserves the right to revise pricing without prior notice.


6. Payment Terms

Unless agreed otherwise:

  • Payment is due before work commences.
  • Certain services require full payment.
  • Corporate account clients may receive agreed credit terms.
  • Interest may be charged on overdue accounts at the maximum rate permitted by law.

BLAQTACH reserves the right to suspend work on overdue accounts.


7. Refund Policy

Professional fees compensate BLAQTACH for time, expertise and administrative work.

Accordingly:

  • Government fees are non-refundable once paid.
  • Third-party fees are non-refundable.
  • Professional fees become non-refundable once work has commenced.
  • Deposits secure appointments and allocated resources.
  • Refunds arising from duplicate payments or errors by BLAQTACH will be processed within a reasonable period.

Nothing in these Terms limits any rights a consumer may have under applicable South African consumer protection legislation.


8. Turnaround Times

Estimated turnaround times are provided for guidance only.

BLAQTACH cannot guarantee turnaround times where delays arise from:

  • government departments;
  • regulatory authorities;
  • third-party verification agencies;
  • banking institutions;
  • internet failures;
  • public holidays;
  • industrial action;
  • system outages;
  • force majeure.

9. Verification Services

Where BLAQTACH provides verification or due diligence services, reports are compiled using information available from lawful and reliable sources at the date of verification.

BLAQTACH does not warrant that third-party information is complete, current or free from error.

Verification reports are provided for the exclusive use of the Client and may not be relied upon as legal advice or financial advice.


10. Fingerprint Services

Fingerprint services are provided strictly for lawful purposes.

Clients may be required to produce valid identification.

BLAQTACH reserves the right to refuse any fingerprint request that appears unlawful, fraudulent or contrary to public policy.

11. POPIA Compliance

BLAQTACH processes personal information in accordance with the Protection of Personal Information Act, 2013.

By using our services, Clients acknowledge that personal information may be collected, verified, stored and processed where necessary to provide requested services or comply with legal obligations.

12. PAIA

Requests for access to records held by BLAQTACH must be submitted in accordance with our PAIA Manual.


13. Intellectual Property

All website content including:

  • logos;
  • branding;
  • graphics;
  • text;
  • quotations;
  • software;
  • reports;
  • forms;
  • templates;
  • workflows;
  • client portals;

remain the exclusive intellectual property of BLAQTACH unless otherwise indicated.

No material may be copied, reproduced or distributed without written permission.


14. Website Use

Users may not:

  • upload malicious software;
  • attempt unauthorised access;
  • interfere with website security;
  • impersonate another person;
  • misuse online booking systems;
  • submit false information.

BLAQTACH may suspend or block access where misuse is suspected.


15. Limitation of Liability

To the fullest extent permitted by law, BLAQTACH shall not be liable for any indirect, consequential, incidental or special damages arising from:

  • delays;
  • government decisions;
  • rejected applications;
  • regulatory changes;
  • third-party system failures;
  • inaccurate information supplied by the Client;
  • events beyond BLAQTACH's reasonable control.

The Client acknowledges that BLAQTACH facilitates administrative and compliance processes but cannot guarantee outcomes.


16. Confidentiality

Information supplied by Clients is treated as confidential except where disclosure is:

  • required by law;
  • authorised by the Client;
  • necessary to provide requested services;
  • required to prevent fraud or unlawful conduct.

17. Third-Party Services

Certain services rely upon external organisations.

BLAQTACH accepts no responsibility for decisions, delays, pricing changes or service interruptions caused by third parties.


18. Electronic Communications

The Client agrees that:

  • quotations;
  • invoices;
  • reports;
  • reminders;
  • notices;
  • agreements;
  • statements;

may be delivered electronically.

Electronic communication shall constitute written communication.


19. Amendments

BLAQTACH may amend these Terms from time to time.

The latest version published on the website supersedes all previous versions.

Continued use of our services constitutes acceptance of the amended Terms.


20. Force Majeure

BLAQTACH shall not be liable for failure to perform obligations where performance is prevented by events beyond its reasonable control, including natural disasters, civil unrest, pandemics, war, cyber-attacks, telecommunications failures, utility interruptions or government action.


21. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.


22. Dispute Resolution

The parties shall endeavour to resolve disputes amicably.

Where this is unsuccessful, the parties may attempt mediation before instituting legal proceedings.

Nothing in this clause limits either party's right to seek urgent relief from a court of competent jurisdiction.


23. Severability

If any provision of these Terms is declared unlawful or unenforceable, the remaining provisions shall continue in full force and effect.


24. Entire Agreement

These Terms, together with BLAQTACH's Privacy Policy, Cookie Policy, PAIA Manual and any service-specific agreements, constitute the entire agreement between the parties relating to website use and general services.
